Michael Deyong is a partner in White & Case's M&A group, based in New York. Michael has extensive experience representing clients in domestic and cross-border mergers, acquisitions, sales, spin-offs, going private and private equity transactions. His practice extends across a wide variety of sectors with a particular emphasis on the healthcare and telecommunications industries. Michael also has broad experience advising on general corporate law matters and US securities law compliance in connection with mergers, domestic and cross-border tender offers, spin-offs and insider filings.
Michael was selected in 2015 by The M&A Advisor as a winner of its "40 Under 40 Emerging Leaders Award" in Mergers & Acquisitions, and distinguished as a "Rising Star" by Thomson Reuters in its "Super Layers – New York Metro" directory. He was also named as a "Leading Lawyer" in M&A in the United States by Euromoney 2018.
Recent matters include the representation of:
- Anthem, Inc. (NYSE: ANTM) in its acquisition of Beacon Health Options, the largest independently held behavioral health organization in the country, its terminated US$54.2 billion agreement to acquire Cigna Corporation (NYSE: CI), a combination that garnered years of front-page coverage and its acquisition of Aspire Health, Inc., the nation's largest non-hospice, community-based palliative care provider.
- Sempra Energy (NYSE: SRE) in its US$9.45 billion acquisition of Energy Future Holdings Corp., which indirectly owns 80% of Oncor Electric Delivery Company, LLC, an operator of the largest electric transmission and distribution system in Texas. The transaction, which created the largest utility holding company in the US, valued Oncor at US$18.8 billion. This transaction was named "M&A Deal of the Year" by The Deal in 2018. Michael also recently advised Sempra in the acquisition by Oncor of InfraREIT, Inc. (NYSE: HIFR), for approximately $1.275 billion and the concurrent acquisition by Sempra of a 50-percent interest in Sharyland Utilities.
- EchoStar Corporation, a premier global provider of satellite and video delivery solutions, in various strategic transactions with DISH Network Corporation, including its spin-off and merger of EchoStar's broadcast satellite services business in exchange for DISH common stock and the transfer of EchoStar's technologies business to DISH in exchange for the redemption of two issues of preferred tracking stock issued in a prior transaction.
Michael received his JD from Georgetown University Law Center in 2005, and received his BA from the University of Central Florida in 2002.
