Dr Martin Weber is a partner in Schellenberg Wittmer's Corporate and M&A group in Zürich. His practice areas include private and public M&A, private equity, capital markets and stock exchange law, corporate and commercial law and corporate restructurings. Martin has extensive experience in advising publicly listed and closely held companies, including multinational groups of companies, in all types of cross-border transactions, public takeovers and going privates, carve-outs and private equity transactions.
Martin regularly assists clients in a variety of other international business transactions, such as corporate restructurings and joint ventures. In addition, he serves as a board member on several Swiss companies of various sizes.
Martin's recent expertise in Corporate Governance case matters includes:
- Counsel to US hedge fund Corvex in joining forces with the investment company 40 North of the US company Standard Industries Group in a newly formed limited Partnership "White Tale", and in its successful stake-building, strategic discussions and subsequent sale of 24.99% in SIX listed Clariant Ltd., a world leader in specialty chemicals, to Saudi Basic Industries Corporation;
- Counsel to various other institutional investors in building, holding and disposing of their stakes in Swiss publicly listed companies (including Transocean, Sika and Syngenta), including all related stock exchange disclosures;
- Transaction counsel to seven major Swiss banks and SIX Group in creating a joint venture operating the mobile payment solution TWINT;
- Counsel to the family shareholders of a Swiss technology company in selling a minority participation to a French-based private equity investor and in establishing a corporate governance system under the new ownership structure.
Martin is highly recognised by leading directories and publications for his expertise in M&A and corporate governance. According to Chambers and Partners, he is praised for his "amazing analytical and negotiation skills" as well as his "capability to understand the needs of his clients". Martin is a regular speaker and author on legal developments in private and public mergers and acquisitions and selected topics of corporate law. He is a co-editor of www.takeoverpractice.ch, Schellenberg Wittmer's innovative website on Swiss takeover law.
Martin joined Schellenberg Wittmer in 1988 where he has been a partner since 1993. Martin graduated from the University of Zürich and was admitted to the Swiss Bar in 1986. He earned a Master of Laws (LLM) from the University of Chicago Law School in 1988.
