Dr Philippe Borens is a partner with Schellenberg Wittmer's Zürich office where he heads the banking and finance group (which includes capital markets). His main practice areas are banking and finance, including the regulation of financial intermediaries and financial services, equity and debt capital markets, investment law, and corporate law.
Philippe advises Swiss and international banks, brokers, fund and asset managers, investment advisors, insurance companies and corporate clients in all types of financial transactions. His expertise includes syndicated loans, acquisition finance, LBOs, rights issues, bonds and notes issues, securitizations, collective investment schemes, hedge funds, derivatives and structured products, cross-border offerings and OTC transactions, as well as securities listings and regulatory issues. Philippe is an authorized representative at the SIX Swiss Exchange.
Some recent examples of Philippe's expertise in Banking and Finance and Capital Markets include:
- Swiss counsel to Austrian issuer ams AG in two issues of senior unsecured bonds (with an aggregate nominal amount of US$350 million in 2017, and €600 million in 2018), both quoted on the open market segment of the Frankfurt Stock Exchange and convertible into ordinary no par value bearer shares listed on SIX Swiss Exchange;
- Swiss counsel to BNP Paribas, Credit Suisse and UBS in their capacity as joint lead managers in a CHF 400 million bond issue by the Republic of Argentina, with bonds issued under a NY law indenture in Switzerland and listed on SIX Swiss Exchange (Swiss Franc Bond of the Year 2017 in IFR Awards 2017);
- Swiss counsel to fund management company Reichmuth Investment Management AG in the structuring and set up of LokRoll, an SPV purchasing locomotives from Siemens and long-term leasing them to SBB Cargo International, financed by equity, mezzanine loans and bank debt.
Philippe is highly recognised by leading legal directories and publications in banking and capital markets. He is praised as "A very deal-oriented lawyer, always focused on the major issues when handling financial transactions."
Philippe has authored and co-authored various publications in the field of Swiss securities law and competition law. He also is a lecturer at the University of Zürich, and a member of the Zürich Bar Association and the International Bar Association.
Philippe joined Schellenberg Wittmer in 1999, where he has been a partner since 2004. In July 2013, he set up Schellenberg Wittmer Pte Ltd in Singapore, the firm's first overseas office, acting as its managing partner until his relocation to Switzerland in June 2016.
Philippe graduated summa cum laude from the University of Basel. He then completed a master's programme in European economic law (LLM) at the College of Europe in Bruges (Belgium) and obtained his doctorate in law in 1999. He was admitted to the Swiss Bar in 1997.
