Juan Carlos Machorro joined Santamarina y Steta in 1990 and became a partner in 2002. His professional practice is focused in the general corporate and financial areas, including mergers and acquisitions, aviation and infrastructure projects.
During 1997 and 1998, he worked in New York City as an Associate with Brown & Wood LLP.
His experience in the aeronautic sector has more than 25 years and goes back to the long-standing representation of the Irish firm GPA in Mexico, being the main lessor and financier of the commercial fleet of Aeroméxico, Méxicana de Aviación, and the former TAESA, Líneas Aéreas Latur and AeroCalifornia.
Mr Machorro has broad experience and expertise representing players involved in public tender and related processes. He acted as legal counsel for the Mexico City International Airport and several government agencies in the infrastructure and the airport industry, including the financing of Terminal 2 of the Mexico City International Airport, several preliminary studies for the New Mexico City International Airport, and all of the tender documents for a greenfield airport project in the Riviera Maya region, among others.
His experience in the aviation industry includes all type of financial work and the design, drafting, negotiation and implementation of financing structures and security packages (including operating, finance and wet leases, option agreements, loan and mortgage agreements, non-possessory pledges, IDERA, US and Mexican trust structures, lease assignments, security assignments, corporate and personal guarantees, dual jurisdiction promissory notes, securitization structures, etc.), as well as continuous regulatory and registration work with aviation authorities (the Mexican Dirección General de Aeronáutica Civil -DGAC, and Aeropuertos y Servicios Auxiliares –ASA) along with applicable registrations under the Convention on International Interests in Mobile Equipment (Cape Town Convention), and the Protocol to the Convention on Matters specific to Aircraft Equipment (Protocol), both signed in Cape Town, South Africa on November 16, 2001.
Clients represented by Mr Machorro in the industry include GPA, Deutsche Bank, First Source Bank, Raytheon Corporation, GE Capital, Bank of America, CIT Group, Vector Aerospace, Cessna Finance, Lloyd Helicopters, Aeropuerto Internacional de la Ciudad de México, Secretaría de Comunicaciones y Transportes, Fondo Nacional de Infraestructura, Bombardier, EADS, ATR, Eurocopter, Airbus, Rolls-Royce, Turbomeca, American Airlines, American Eagle, Copa Airlines, Southwest Airlines, Transportes Aeromar, Aerolíneas Venezolanas, Amaszonas, among others.
Mr Machorro holds a law degree from Universidad Iberoamericana in Mexico City (1994) and made postgraduate studies in International Businesses and Finance (New York University, 1997-1998). He is a member of the International Bar Association, the U.S.- Mexico Bar Association, L2-B Group, and several legal and financial committees of industrial, commercial and international chambers.
He is a professor of corporate and commercial law at Universidad Anáhuac del Norte in Mexico City and used to lecture in postgraduate programs at the Instituto Tecnológico Autónomo de México (ITAM). He speaks Spanish and English.
